This position is an opportunity to play a critical role in providing high-level transactional support across complex corporate matters for both emerging growth companies and established public entities.
Key responsibilities include:
- Manage entity formation, ongoing corporate maintenance, and dissolution processes
- Facilitate transaction closings and develop related legal documents for complex corporate deals
- Draft legal opinion letters and compile supporting documentation packages
- Prepare and submit corporate and securities filings with regulatory authorities across multiple jurisdictions
- Oversee corporate record organization and conduct comprehensive due diligence examinations
- Conduct Blue Sky regulatory research and prepare required state securities filings
- Generate stock certificates and maintain accurate capitalization tables and equity compensation records

Job Details
Interested candidates must have 4+ years of corporate transactional experience handling private equity, capital markets, or M&A matters, preferably with a large law firm.
