Job Details

Responsibilities:

As a Corporate & Securities - Associate Attorney, your responsibilities will include but are not limited to:

1. Assisting with capital markets transactions, including public offerings, debt offerings, and IPOs.
2. Preparing and reviewing public company reporting documents, such as 10-Q, 10-K, and proxy statements.
3. Providing legal advice and support on SEC reporting and compliance matters.
4. Advising on corporate governance and board governance matters, including drafting and reviewing board materials, policies, and procedures.
5. Collaborating with other members of the legal team and other departments to ensure compliance with applicable laws and regulations.
6. Staying abreast of developments in corporate and securities law, and advising the company on potential impacts.
7. Conducting legal research and preparing legal memoranda on various corporate and securities law issues.

Qualifications:

To be considered for the Corporate & Securities - Associate Attorney position, you must meet the following qualifications:

1. JD from an accredited law school.
2. Admitted to practice law in the state.
3. 5+ years of experience as a Corporate Attorney or Securities Attorney, or equivalent.
4. Proven experience in capital markets transactions, including public offerings, debt offerings, and IPOs.
5. Demonstrated knowledge of public company reporting, including experience with 10-Q, 10-K, and proxy statements.
6. Strong understanding of SEC reporting and compliance.
7. Experience advising on corporate governance and board governance matters.
8. Excellent legal research and writing skills.
9. Strong interpersonal and communication skills, with the ability to work effectively with a diverse team.
10. High level of professionalism, integrity, and discretion.
11. Ability to manage multiple tasks, projects, and deadlines in a fast-paced environment.
12. Strong problem-solving skills and attention to detail.
