Job Details

Responsibilities:

  • Draft, review, and negotiate a broad range of securitization and structured finance transactions, including asset-backed securities, collateralized loan obligations, and other structured products.
  • Advise on legal and regulatory issues related to securitization and asset-based finance, including compliance with relevant laws and regulations.
  • Collaborate with cross-functional teams, including finance, risk management, and operations, to structure transactions and mitigate risk.
  • Provide legal advice and guidance on the structuring and execution of securitization transactions, including the preparation and review of transaction documents.
  • Develop and implement legal strategies and procedures related to securitization and asset-based finance.
  • Stay abreast of industry trends and regulatory changes affecting securitization and asset-based finance, and advise management on potential impacts and recommended actions.
  • Manage external counsel and other advisors to ensure effective and efficient support for securitization transactions.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Must be a member in good standing of a state bar.
  • Minimum of 3-6 years of experience as a securitization attorney, with a strong focus on asset-based finance.
  • Proven experience in drafting, reviewing, and negotiating complex securitization and structured finance transactions.
  • In-depth knowledge of laws and regulations related to securitization and asset-based finance.
  • Strong analytical, problem-solving, and decision-making skills.
  • Excellent negotiation skills and the ability to effectively manage complex transactions.
  • Strong communication and interpersonal skills, with the ability to work effectively with a diverse range of internal and external stakeholders.
  • Ability to work independently, manage multiple priorities, and meet tight deadlines in a fast-paced environment.
  • High degree of professional ethics and integrity.
