We are seeking a highly skilled and experienced Permanent Corporate/Senior Corporate Counsel to join our dynamic team. The successful candidate will be responsible for providing legal advice and guidance on a wide range of issues related to sales, software, contracts, and insurance. This role will involve working closely with our sales and management teams to ensure all activities comply with state and federal laws. The role requires a professional with a strong understanding of business law, particularly in the sales industry, and a minimum of 5 years of experience in a similar role.

Responsibilities

  • Drafts, reviews, and negotiates a broad spectrum of agreements including SaaS agreements, partnership agreements, technology agreements, web-based terms and conditions, leases, and non-disclosure agreements.
  • Communicates with internal stakeholders, clients, and vendors as part of the negotiation process.
  • Researches legal issues (including changes in state, federal, and international law), drafts executive summaries, and communicates research findings to internal stakeholders.
  • Provides sound, practical legal advice, identifies legal risks, and executes appropriate risk mitigation strategies for the company and its affiliates.
  • Consults with senior management, outside counsel, tax experts, accountants, and other advisors, as necessary.
  • Negotiates and attempts to resolve potential legal disputes.
  • Works on special projects with senior management, other members of the legal team, and outside counsel, as necessary.
  • Assists with key legal department initiatives (such as tasks related to agreement templates, process improvements, and system implementations).
  • Completes additional projects, as assigned.

Qualifications

  • Juris Doctorate degree from an accredited law school.
  • Minimum of 4 years of experience in a corporate legal department or law firm, with a focus on sales, software, contracts, and insurance.
  • Active member of the state bar.
  • Demonstrated ability to create legal defensive or proactive strategies.
  • High degree of professional ethics, integrity, and gravitas.
  • Excellent negotiation, communication, and interpersonal skills.
  • Proven background in corporate governance, contract law, and risk management.
  • Proficient understanding of business sensitivities and confidentiality.
  • Ability to work independently and in a team environment.
  • Strong analytical skills and the ability to handle complex legal projects.
  • Ability to work under pressure and meet deadlines.
  • Proficient in Microsoft Office Suite and legal research software.
