Responsibilities:
- Draft, review, and negotiate a wide variety of corporate documents including contracts, agreements, and transactional documents.
- Provide legal advice on a broad array of corporate matters such as mergers and acquisitions, real estate transactions, employment law issues, and intellectual property rights.
- Assist in due diligence investigations and deal execution for corporate transactions including mergers, acquisitions, and divestitures.
- Provide strategic legal advice to clients in the entertainment industry, including drafting and negotiating entertainment contracts and advising on intellectual property matters.
- Navigate the complex legal landscape of the cannabis industry, providing advice on regulatory compliance, licensing, and business transactions.
- Develop and maintain strong relationships with clients, gaining a deep understanding of their business operations and needs.
- Stay up-to-date with changes in law and industry trends affecting clients' businesses and adjust legal strategies as necessary.
Job Details
Qualifications:
- Juris Doctorate degree from an accredited law school.
- A minimum of 3 years of experience as a corporate transactional attorney.
- Active member in good standing with the State Bar.
- Proven experience in drafting, reviewing, and negotiating contracts and agreements.
- Extensive knowledge of corporate law, with particular emphasis on mergers and acquisitions, real estate, employment law, entertainment law, and intellectual property.
- Experience in the cannabis industry and understanding of related regulatory compliance preferred.
- Excellent interpersonal and communication skills, with the ability to advise clients in clear, concise language.
- Strong analytical and problem-solving skills, with the ability to think strategically and provide practical legal advice.
- Ability to manage multiple projects, work under pressure, and meet deadlines.
- High ethical standards and professional integrity.
- Commitment to staying informed about changes in the law and industry trends.
- Proficiency in legal research tools and Microsoft Office Suite.
