We are seeking a highly skilled, experienced, and detail-oriented Permanent In-House Counsel for our legal department. The successful candidate will serve as a key member of our team, providing strategic legal advice on a broad range of regulatory, governance, and transactional matters for the company. This role will be responsible for managing and overseeing all legal affairs related to accounting and finance, including but not limited to corporate law, business law, governance, regulations, bankruptcy, real estate law, and real estate finance.
Responsibilities:
1. Provide legal advice and guidance on matters of corporate law, business law, governance, and regulations.
2. Oversee and manage all company transactions, ensuring compliance with applicable laws and regulations.
3. Advise on legal aspects of the company’s financing, including assessing and advising on current and future business structures and legal entities.
4. Draft, negotiate, and review legal agreements, contracts, and other documents related to a variety of trade, commercial, financial, and operational matters to protect the company's legal and business interests.
5. Handle bankruptcy procedures, ensuring the company's interests are protected.
6. Provide expert and strategic legal advice in the field of real estate law and real estate finance.
7. Monitor and ensure compliance with state and federal regulations.
Qualifications:
1. Juris Doctorate degree from an accredited law school and a current license to practice law.
2. A minimum of 5 years of legal experience, preferably in the Accounting + Finance industry.
3. Proficient understanding of business sensitivities and confidentiality.
4. Strong experience in corporate law, business law, governance, regulations, bankruptcy, real estate law, and real estate finance.
5. Proven background in handling legal aspects of financial operations, including transactions and agreements.
6. Excellent negotiation skills with the ability to resolve legal disputes.
7. Excellent interpersonal and communication skills, with the ability to advise and influence at all levels of the organization.
8. Strong analytical skills and the ability to handle complex legal projects.
