We are seeking a highly motivated and experienced Permanent Lawyer specializing in Mergers and Acquisitions (M&A) to join our dynamic legal team. This role provides an exceptional opportunity to work on high-profile, complex M&A transactions in a collaborative, fast-paced environment. The ideal candidate will have a strong background in corporate law, with a specific focus on M&A transactions. As a key member of our legal team, you will be involved in all aspects of our M&A activities, from initial deal conception and due diligence through negotiation, closing, and post-closing integration.

Responsibilities:

1. Lead and manage all legal aspects of M&A transactions, including acquisitions, divestitures, joint ventures, and equity investments.
2. Draft, review, and negotiate a wide variety of legal documents related to M&A transactions, including letters of intent, purchase agreements, confidentiality agreements, and ancillary agreements.
3. Conduct comprehensive due diligence reviews of potential M&A targets, identify key risks and issues, and provide strategic advice to the company's leadership team.
4. Collaborate closely with the company's business development, finance, tax, HR, and operations teams to structure and execute M&A transactions.
5. Provide ongoing legal advice and support to the company's leadership team on potential M&A opportunities and related strategic initiatives.
6. Develop and implement best practices for managing legal risks and ensuring compliance with applicable laws and regulations in M&A transactions.
7. Provide training and guidance to junior members of the legal team on M&A-related legal issues.

Qualifications:

1. Juris Doctor (JD) degree from an accredited law school.
2. Admission to the state bar.
3. A minimum of 5 years of legal experience, with a significant portion of that experience in corporate law and M&A transactions.
4. Strong knowledge of the legal and regulatory environment related to M&A transactions.
5. Exceptional drafting and negotiation skills, with a keen attention to detail.
6. Proven ability to manage complex M&A transactions, from initial deal conception through closing and post-closing integration.
7. Strong analytical and problem-solving skills, with the ability to identify key risks and issues in M&A transactions and provide practical, business-oriented legal advice.
8. Excellent interpersonal and communication skills, with the ability to work effectively with a diverse range of stakeholders.
9. High degree of professional ethics and integrity.
10. Ability to work independently, manage multiple projects simultaneously, and meet tight deadlines.
