Job Details
- Lead and manage tax due diligence engagements for both buy-side and sell-side transactions
- Deliver high-quality, timely tax consulting services with a focus on exceeding client expectations
- Collaborate closely with Partners and Directors on complex technical tax matters, including Subchapter C, Subchapter K, and international inbound/outbound issues
- Analyze and review the tax implications of merger agreements and other legal documents; draft tax opinion memoranda
- Advise clients on a range of tax consulting projects, including debt restructurings, tax basis calculations, earnings and profits analyses, and Section 382 studies
- Provide training, guidance, and mentorship to interns and junior staff
- Effectively communicate complex tax concepts to clients in a clear and approachable way
Qualifications:
- 5+ years of experience in tax, with a strong focus on M&A transactions
- 6+ months of management experience
- JD, or Master’s in Taxation (preferred)
