Job Details

Key Responsibilities and Duties:
  • Lead tax consulting, planning, and compliance for M&A transactions involving closely held businesses
  • Conduct and manage tax due diligence for mergers, acquisitions, and restructurings
  • Advise clients on tax-efficient deal structuring and corporate reorganizations
  • Perform financial modeling to assess transaction-related tax implications
  • Interpret complex U.S. tax code related to S Corps, C Corps, partnerships, and consolidated groups
  • Assist audit teams with ASC 740 compliance
  • Mentor junior team members and contribute to professional development
  • Stay current on tax law changes and industry practices
  • Support business development efforts and client relationship expansion
  • Collaborate across service lines and offices to deliver seamless advisory support

You should have most of the following:
  • CPA or JD required; MST preferred
  • Minimum 6 years of tax experience, ideally within a public accounting firm or M&A tax practice
  • Strong technical knowledge of U.S. federal tax law as applied to corporate transactions, partnerships, insolvency, and restructuring
  • Experience in tax consulting, due diligence, and financial modeling
  • Familiarity with ASC 740 and FASB tax accounting standards
  • Proven ability to manage complex engagements and communicate effectively with clients and teams
  • Experience with CCH Axcess Suite (ProFx Tax, Engagement, Document) is a plus
