Job Details
- Advise clients on federal and state securities law compliance
- Prepare and file registration statements, 10-Ks, 10-Qs, 8-Ks, proxy statements, and other disclosures
- Handle private placements, public offerings, reverse mergers, and PIPE transactions
- Guide clients through uplisting and exchange compliance (OTC to NASDAQ/NYSE)
- Counsel issuers, underwriters, and investors in capital markets transactions
- Coordinate annual and special meetings of shareholders and handle proxy matters
- Respond to SEC comment letters and manage SEC/FINRA investigations
- Oversee Regulation D, S, and A+ offerings and related disclosure documentation
- Collaborate with the Corporate department on M&A and related transactions
Looking For:
- J.D. and licensed to practice in Florida
- Minimum 4 years of experience focused on securities law
- Experience advising on 1934 Act reporting and 1933 Act registered and exempt offerings.
- Experience with SEC Reporting and Compliance, Reverse Mergers, venture capital and private equity financings.
- Proven ability to independently manage filings, reports, and transaction execution
