Job Details

Responsibilities:
  • Review and analyze executive compensation arrangements for Section 409A compliance
  • Perform golden parachute (Section 280G) calculations and risk assessments
  • Draft, revise, and negotiate compensation and benefits provisions in merger and acquisition agreements
  • Advise clients on equity plans, incentive arrangements, and other compensation-related tax and legal issues
  • Work closely with corporate teams on M&A transactions, private equity matters, and executive transitions

Qualifications:
  • 8+ years of AmLaw 100 law firm experience
  • J.D. from a top 15 law school
  • LL.M. in Taxation
