Responsibilities:
Qualifications:
- Review and analyze executive compensation arrangements for Section 409A compliance
- Perform golden parachute (Section 280G) calculations and risk assessments
- Draft, revise, and negotiate compensation and benefits provisions in merger and acquisition agreements
- Advise clients on equity plans, incentive arrangements, and other compensation-related tax and legal issues
- Work closely with corporate teams on M&A transactions, private equity matters, and executive transitions
Qualifications:
- 8+ years of AmLaw 100 law firm experience
- J.D. from a top 15 law school
- LL.M. in Taxation
