We are seeking a corporate paralegal to join the team in a remote capacity. The paralegal will be working closely with the in house legal team of global subsidiary management.

Our company is in search of a dynamic and experienced Consulting Senior Corporate Paralegal to join our corporate legal team. This role will primarily focus on Corporate Governance within the Engineering Industry. The ideal candidate will have a minimum of ten years of relevant experience, a deep understanding of international entity management, legal integration post-acquisition, managing a global master signatory list, and updating articles and bylaws. This position offers an exciting opportunity to work on complex legal matters in a fast-paced, innovative environment.
Responsibilities:
1. Provide high-level support to the legal team on a variety of corporate governance matters.
2. Oversee international and domestic entity management, ensuring compliance with local and international regulations.
3. Assist in the legal integration process after the acquisition, coordinating with various departments to ensure a seamless transition.
4. Maintain and update the global master signatory list, ensuring accurate and up-to-date records.
5. Update articles and bylaws as necessary, aligning with changes in corporate strategy or regulatory requirements.
6. Collaborate with cross-functional teams to address and mitigate legal risks.
7. Conduct research on legal matters, providing clear and concise reports to senior management.
8. Assist in the preparation and filing of legal documents, ensuring accuracy and timeliness.
9. Manage and coordinate board meetings, preparing necessary documentation and minutes.
10. Provide training to the team on corporate governance matters, ensuring understanding and compliance.
Qualifications:
1. Bachelor’s degree in Law, Business Administration, or related field.
2. A minimum of ten years of experience as a Corporate Paralegal, preferably within the Engineering industry.
3. Demonstrated experience in international entity management, legal integration after acquisition, global master signatory list, and updating articles and bylaws.
4. Strong knowledge of corporate governance principles and best practices.
5. Excellent organizational skills, with the ability to manage multiple tasks and projects simultaneously.
6. Strong research and analytical skills, with the ability to interpret complex legal information.
7. Excellent verbal and written communication skills, with the ability to interact effectively with all levels of the organization.
8. Proficient in Microsoft Office Suite and legal research tools.
9. Certification as a Paralegal or equivalent is preferred.
10. Ability to work independently and as part of a team, demonstrating a proactive and problem-solving approach.
11. High level of integrity and professionalism, maintaining confidentiality at all times.
