A bit about us:

A prominent Albany, New York real estate law firm seeks a qualified associate with a minimum of five (5) years’ experience to practice in its Corporate and Commercial Transactions practice group. The candidate will work on a variety of general corporate matters related to entity formation, corporate governance, mergers and acquisitions, real estate development, and other general commercial and corporate transactions, and the candidate’s position will include direct, day-to-day interaction with clients.

Specific Responsibilities include, but are not limited to:

· Formulate effective and efficient resolution strategies to meet business objectives based on knowledge of clients’ businesses

· Provide general counsel and advice to various functional areas of the clients’ businesses, including identifying and mitigating contractual and corporate governance risks and drafting commercial contracts and agreements to resolve business issues

· Assist with the negotiation and consummation of strategic transactions entered into by clients (e.g., mergers and acquisitions, real estate development projects, joint ventures)

· Draft, review and advise on general commercial contracts.

· Perform other relevant duties as assigned

Required Qualifications:

· J.D. with minimum of 5 years commercial transaction experience at a law firm or comparable corporate environment

· Excellent contract drafting skills

· Effective communication skills, verbal and written form

· Superior attention to detail and organizational skills
